Corporate Governance

The Board of Directors consists of Shareholder Representatives and independent non-executive Directors. The Board's role is to set the overall strategic direction, approve business plans and monitor the overall performance of the business against the approved plans and within a framework of sound corporate governance.


  • Dr. Juma Bin Ali Al Juma

    Chairman

    Holder of a PhD in Political Sciences, a master’s degree in Political Sciences and bachelor’s degree in Economics and Political Sciences, Dr. Juma is currently Chairman of the Board of Directors at Al Maha Petroleum Products Marketing Company and Chairman of the Board of Trustees of Muscat University. From 2001 to 2008, he was Minister of Manpower and more recently from 2010 to 2015, Dr. Juma was Chairman of Board of Directors at Oman Airports Management Company. His previous directorships include Chief of Founding Committee at Muscat University; Chairman of Oman International Bank; Senior Independent Director as well as Independent Non-Executive Director of HSBC Bank, Oman.

  • Sheikh Nasser Bin Ali Bin Saud Al Thani

    Deputy Chairman

    Sheikh Nasser has vast experience within the Insurance and Banking sectors and sits on the Boards of several regional organizations. Previously, he was the Chairman and Managing Director of Qatar General Insurance and Reinsurance Company; Chairman and Managing Director of General Takaful Company; and Deputy Chairman at Ahli Bank, Qatar.

  • Talal Al Zain

    Mr. Talal Al Zain is the Group CEO at Trust Re, Bahrain since April 2019. With broad regional and international experience within the financial services sector, Mr. Al Zain previously was the Chief Executive Officer of PineBridge Investments Middle East; Chief Executive Officer of Bahrain Mumtalakat Holding Company; Managing Director and Co-Head of Placement and Relationship Management at Investcorp, Bahrain; Vice President of Private Banking – International and Head of Investment Banking – Middle East with the Chase Manhattan Bank, Geneva; and corporate banker for Citibank Corporate Banking Division in Bahrain. Mr. Al Zain holds a Bachelor of Business Administration degree from Oglethorpe University; Master of Business Administration in Finance from Mercer University, Atlanta; and has completed the Management Development Program at Harvard Business School.

  • Alaa Fares

    Mr. Alaa Fares is the Group Chief Financial Officer at Qatar General Insurance and Reinsurance Company since December 2019. Prior to that, Mr. Fares served as Executive Vice President – Finance at Abu Dhabi National Insurance Company for nearly ten years. Previously, he was also Chief Financial Officer at Saudi Reinsurance Company. Mr. Fares holds a bachelor’s degree in Accounting and Auditing from Kuwait University; he is a Certified Public Accountant (CPA) from USA; and a Certified Management Accountant (CMA) from Australia.

  • Sayyid Mohamed Bin Said Al Busaid

    Sayyid Mohamed Bin Said Al Busaid is the Chief Executive Officer at Al Ekhlas International LLC, Muscat since 2016. With broad experience within the corporate governance and legal affairs, Sayyid Mohamed earlier was an Associate at Al Busaidi Mansoor Jamal – Barristers and Legal Consultants. He holds a Bachelor of Business degree with management concentration and a Master of Laws degree in International Commercial Law.

  • Gamal Mohamed Abdulla

    Mr. Gamal Mohammed Abdulla graduated from College of Commerce at Alexandria University in 1977. His core competency lies in the area of taxation with rich experience at Egyptian Tax Authority and the Secretariat General of Taxation, Sultanate of Oman until his employment with Omar Zawawi Establishment, Muscat as Tax Advisor since 2000.

  • Pramod Kumar Hiran

    Mr. Pramod Kumar Hiran is a qualified Chartered Accountant and Cost Accountant from India and is currently associated with OMZEST Group, Muscat. In his professional experience spanning more than 20 years, he has worked with Merchant Bankers, Manufacturing Organizations and a leading Telecom Operator in India. Mr. Hiran also sits on the Boards of various SAOG and SAOC Companies in Oman.


The Audit Committee assists the Board in fulfilling its oversight responsibilities for financial reporting, internal control processes and the risk-based internal audit cycles.

The purpose of the Risk Committee is to assist the Board in fulfilling its corporate governance oversight responsibilities with regard to the identification, evaluation, and mitigation of strategic, operational and external environment risks. The committee has an overall responsibility for monitoring and approving the risk management framework of the company.

    Pramod Kumar Hiran

The Committee's primary functions are to: assess required and necessary competencies of Board members, review Board succession plans, evaluate the Board's performance and make recommendations to the Board on executive remuneration and incentive policies, remuneration packages of senior management, recruitment, retention and termination policies for senior management, incentive schemes, pension arrangements and the remuneration framework for the directors. Lastly, the Committee monitors the overall organizational structure and ensures that executive succession planning is in place.
